Terms of business
1. Who we are
Business Boxed Limited ("we", "us", "our") is a company registered in England and Wales under company number 07946924, with its registered office at Coppice House, Halesfield 7, Telford, TF7 4NA. We trade as Business Boxed and at bbxd.net. You can contact us at mike@bbxd.net or on 07859 881298.
2. Our services
We provide consultancy, implementation, development, integration, migration, health check, code review and support services relating to Microsoft Dynamics 365 Business Central and associated Microsoft technologies. The specific services, deliverables, timescales and fees for each engagement are set out in a written proposal or statement of work which we will agree with you before work begins.
We are an independent consultancy. We are not Microsoft and we do not act on Microsoft's behalf. Microsoft software, licences and online services are provided by Microsoft under Microsoft's own terms, which you accept directly with Microsoft.
3. Quotations, fees and payment
- Quotations are valid for 30 days unless stated otherwise.
- Fees are stated exclusive of VAT, which is charged at the applicable rate.
- Time and materials work is billed monthly in arrears at the agreed day or hourly rate. Fixed scope work is billed against the milestones in the statement of work.
- Health checks and code checks are billed as a one off fee as stated in the quotation.
- Invoices are payable within 30 days of the invoice date. We may charge interest on late payments under the Late Payment of Commercial Debts (Interest) Act 1998 and may suspend work while an invoice is overdue.
- Reasonable travel and subsistence expenses incurred for on site work are charged at cost and agreed with you in advance.
4. Your responsibilities
You agree to provide timely access to the people, systems, environments, data and information we reasonably need to carry out the work; to review and approve deliverables within the agreed timescales; to hold valid licences for the Microsoft products we work on; and to keep appropriate backups of your own data. Where delays on your side affect the timescale or cost of the work, we will tell you as soon as practicable and agree how to proceed.
5. Changes to scope
If you ask us to do work outside the agreed scope, or if information provided to us turns out to be materially inaccurate or incomplete, we will provide a written change request setting out the effect on fees and timescales. No additional work will start until you have approved the change request.
6. Intellectual property
- On payment in full, you own the intellectual property in bespoke deliverables created specifically for you, such as per tenant extensions, configurations, reports and documentation produced under the statement of work.
- We retain ownership of our pre existing materials, tools, methods, templates, libraries and any generic components we develop that are not specific to you, and we grant you a non exclusive, perpetual licence to use them as part of the deliverables.
- Microsoft and third party software remains the property of its owners and is licensed under their terms.
7. Confidentiality
Each of us will keep the other's confidential information confidential, use it only for the purposes of the engagement, and not disclose it to third parties except to staff, contractors and advisers who need to know it and are bound by equivalent obligations, or where disclosure is required by law. This obligation continues after the engagement ends.
8. Data protection
Where we process personal data on your behalf in the course of the services, we do so as your processor under UK GDPR and the Data Protection Act 2018, and in accordance with our privacy policy. We will enter into a data processing agreement with you where required.
9. Warranties and acceptance
We will perform the services with reasonable skill and care and in accordance with good industry practice. Deliverables are accepted when you confirm acceptance in writing or when you use them in a production environment, whichever is earlier. If a deliverable does not conform to its agreed specification and you notify us within 30 days of acceptance, we will correct it at no additional charge. Except as expressly stated, all other warranties are excluded to the extent permitted by law.
10. Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited. Subject to that, we are not liable for loss of profit, revenue, data, business or goodwill, or for any indirect or consequential loss; and our total liability arising out of or in connection with an engagement is limited to the fees paid by you for that engagement in the 12 months before the claim arose.
11. Term and termination
Either party may end an engagement on 30 days' written notice. Either party may end an engagement immediately if the other commits a material breach that is not remedied within 14 days of notice, or becomes insolvent. On termination you will pay for work performed and expenses incurred up to the termination date, and we will hand over work in progress on payment.
12. Non solicitation
During an engagement and for six months afterwards, neither party will directly solicit for employment any member of the other party's staff who was involved in the engagement, without the other party's written consent.
13. General
These terms, together with the applicable statement of work, form the entire agreement between us. Neither party may assign its rights without the other's consent, except that we may use subcontractors under our supervision. If any provision is found to be unenforceable, the remainder continues in effect. These terms are governed by the laws of England and Wales and the courts of England and Wales have exclusive jurisdiction.
14. Jobs board
The jobs board at bbxd.net/jobs.php is a free service for employers, Dynamics partners and recruitment agencies ("posters") to advertise Microsoft Dynamics 365 Business Central roles, and for candidates to apply. By posting or applying you agree to the following.
- Posters confirm they have authority to advertise the role, that it is a genuine vacancy, and that the wording complies with the Equality Act 2010 and does not discriminate on any protected characteristic. Roles must be described by the skills and experience required.
- Every listing is reviewed before publication. We may decline, edit or remove any listing at our discretion and without giving reasons, including listings we consider misleading, duplicated, not Business Central related, or in breach of these terms.
- Listings remain live for 30 days or until the stated closing date, whichever is earlier, and may be extended by the poster. Posters are responsible for withdrawing a listing once the role is filled.
- Applications submitted through the site are forwarded to the poster by email with the candidate's CV attached. The poster becomes the data controller for that information on receipt and must handle it in accordance with data protection law and their own privacy policy.
- Candidates confirm that the information and CV they submit is accurate and their own, and that they consent to it being sent to the named employer or agency for the purpose of that application.
- We act as an intermediary only. We do not verify posters, roles or candidates beyond the review described above, we are not party to any resulting engagement, and we accept no liability for the conduct of posters or candidates, the accuracy of listings, or the outcome of any application.
- We may suspend or remove the jobs board, and remove any user's access to it, at any time.
